Fairness Opinion

Expert and independent opinion.

The ever-increasing complexity of financial transactions has created a more significant need for control by regulatory entities and by all parties involved. In order to provide support for key decision-making and reduce the risk of conflict, shareholders, boards of directors and audit committees require a fairness opinion issued by an independent, qualified third party with a solid track record.

A Fairness Opinion is an independent analysis of a transaction from the financial perspective, seeking to determine whether it might be reasonably considered appropriate according to market standards.

The First team has an extensive and solid experience in the preparation of Fairness Opinions in Argentina and other Latin American countries.

In Argentina, listed companies need a Fairness Opinion for certain transactions, in order to comply with the provisions of the new Capital Markets Law (Ley de Mercado de Capitales No. 26,831), its Regulatory Decree 1023/13, and the regulatory resolutions issued by the Argentine Securities and Exchange Commission (Comisión Nacional de Valores).
